These Terms of Service (“Terms”) govern your use of 100 Reasons services. By using any 100 Reasons service, you agree to these Terms and our Privacy Policy.

This Terms of Service document applies to different 100 Reasons services. Different sections apply depending on which service you use:

What is 100 Reasons?

100 Reasons is a web application where one person (Giver) writes personal reasons why they love their partner (Receiver). The Receiver can view these reasons through the app, with a daily limit on how many they can read per day.

Service Components:

  • Website (100reasons.love) - Marketing site and early access signup
  • Early Access - Free email notification service for launch updates
  • App (app.100reasons.love) - Full service for creating and viewing love reasons

Eligibility

To use 100 Reasons, you must:

  • Be at least 18 years old
  • Have a valid email address
  • Have the legal capacity to enter into contracts
  • Agree to these Terms and our Privacy Policy

For App users only:

  • Provide accurate account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activity under your account
  • Comply with payment obligations if you subscribe to a paid plan

Geographic Restrictions: None. 100 Reasons is available worldwide, but you must ensure your local laws permit you to use our services.

Personal Use Only: 100 Reasons is a consumer service for personal relationships only. Business, commercial, or organizational use is not permitted.


Early Access Terms

📧 Early Access Only

What is Early Access?

Early Access provides early access to 100 Reasons before it’s available to the general public. Early Access members receive launch notifications and get to use new features before everyone else.

No Account Required: Signing up for Early Access is just an email list. You don’t need to create an account or provide a password until you receive your access invitation.

What You’ll Receive:

  1. Confirmation Email (Immediate) - Double opt-in required
  2. Welcome Email - After confirmation
  3. Milestone Emails - Optional updates (2-4 before major releases)
  4. Launch/Feature Emails - Notifications when new features are available

What We Won’t Send:

  • Spam or excessive emails
  • Third-party promotions or advertisements
  • Unrelated marketing from other companies

Early Access Responsibilities:

You agree to:

  • Provide a real, valid email address
  • Not use temporary or disposable email addresses
  • Not use someone else’s email address without permission
  • Not submit fake or fraudulent signups
  • Not use bots or scripts to sign up multiple times

App Service Description

What the App Does

100 Reasons enables:

  1. Givers to write personal love reasons for their partner
  2. Receivers to view these reasons with a daily limit (determined by the app, the Giver, and the subscription plan)
  3. Relationship management between Givers and Receivers

Key Features:

  • Reason creation and storage
  • Daily Limit system (prevents viewing all reasons at once)
  • Nudge notifications (remind Receivers to view Reasons and remind Givers to add more Reasons)
  • Reaction system (Receivers can react to Reasons)
  • Bonus Reasons (Givers can grant extra views)
  • Multi-language support (currently: English, more languages coming soon)

Service Availability:

  • Target uptime: 99.5% for paid subscriptions (excluding scheduled maintenance)
  • Maintenance: We will notify you 24 hours in advance when possible
  • Emergency maintenance: May occur without notice

Data Storage:

  • All data stored on Supabase (see Privacy Policy)
  • Backups retained for 30 days
  • Deletion requests processed within 30 days

Subscription Plans and Pricing

📱 App Only

Available Plans

100 Reasons offers subscription plans as described on our Pricing Page.

All prices are displayed in the app and on our website before you subscribe. All prices include applicable Value Added Tax (VAT).

Plan features and pricing are subject to change. If we change pricing, we will notify you by email. The notification will include the new price and the date it takes effect (your next renewal date). You can cancel your subscription before that date if you don’t accept the new price.

Beta/Early Access Users

If you received access to 100 Reasons through an early access or beta invitation:

  • Your access is free of charge until further notice
  • We will notify you by email at least 30 days before introducing any changes to your access
  • Changes may include: offering you an upgrade to a paid plan, limiting features available on your current plan, or migrating you to a publicly available free plan
  • At that point, you can choose to:
    • Accept the changes and continue using the service
    • Export your data and discontinue use

Billing and Payment

  • Subscriptions are billed monthly or annually, depending on the plan you choose
  • Payment is processed by Stripe
  • First charge occurs immediately upon subscription
  • Subsequent charges occur automatically on the same day each billing period
  • Price changes: If we change pricing, you will receive an email notification with the new price and when it takes effect (your next renewal date). No separate notification is sent at renewal time.

Auto-Renewal

⚠️ Important: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

  • You can cancel anytime
  • When you cancel:
    • Your subscription will NOT renew at the end of the current period
    • You keep full access until the end of your current paid period
    • No refund for the remaining time in your current period (except Widerrufsrecht within 14 days for EU consumers)
  • Renewal happens automatically without additional notification

Refund Policy

  • EU consumers: Subject to Widerrufsrecht (14-day withdrawal right - see section below)
  • After 14 days: No refunds for partial periods
  • Service failures: If we fail to deliver the service, contact us for a pro-rated refund

Payment Failures

If your payment fails, your account will be suspended (see Account Suspension section for suspension process details).

Payment-specific details:

  • Partner notification: Your partner (Receiver) will be notified of the payment issue
  • Cure period: You have 7 days to update your payment method to avoid termination
  • Data preservation: After 7 days without payment, your data is preserved for 30 days before deletion
  • Multi-relationship accounts: Only the Relationship with unpaid subscription is affected

See Account Termination section for what happens if payment is not resolved within 7 days.

Plan Retirement

If we retire a subscription plan:

Existing subscribers:

  • You can keep your current plan indefinitely at your current price
  • All features included in your plan continue to work
  • New features may only be available on active plans
  • You can switch to a new plan at any time
  • If you cancel or change plans, you cannot return to a retired plan

New subscribers:

  • Retired plans are not available for new signups
  • Choose from active plans shown on our Pricing Page

Notification: We will notify you by email when we retire a plan, but this does not affect your existing subscription.


How Plan Changes Work

📱 App Only

You can change your subscription plan at any time.

Upgrading Your Plan

When you upgrade (to a higher tier):

  1. Effective immediately - New features available right away
  2. Pro-rated charge - You pay the difference for the remaining billing period
  3. Example: Upgrade 6 months into a yearly subscription:
    • You pay 50% of the new plan’s annual fee (6 months remaining)
    • Next year, you pay the full annual fee for the new plan

Downgrading Your Plan

When you downgrade (to a lower tier):

  1. Effective at end of billing period - You keep current features until renewal date
  2. No refund for remaining days (except Widerrufsrecht within 14 days)
  3. Features restricted after billing period ends
  4. Data preserved - Your data is NOT deleted, but access may be limited based on the new plan’s restrictions

Data Preservation After Downgrade

  • Until end of paid period: Full data and features available
  • After downgrade: Data kept intact, but you lose access to features not included in your new plan
  • Settings reset: Custom values not available in the lower plan are replaced with the new plan’s defaults (e.g., Daily Limit)

Pausing a Relationship

Either party (Giver or Receiver) can pause a Relationship at any time.

What happens:

  • Both Giver and Receiver lose access to Reason functionality
  • All data is preserved
  • Either party can resume the Relationship at any time
  • Paused Relationships still count against your subscription limits

Ending a Relationship

Either party (Giver or Receiver) can end a Relationship at any time.

What happens:

  • Only the Giver can delete Reason data
  • Giver can export all data before deletion
  • Giver can create a new Relationship with the same subscription
  • Receiver loses access to all Reasons from that Relationship

No refunds for ended Relationships: When you give someone a gift, you don’t ask for it back. 100 Reasons is a gift to your partner. If you end the Relationship, the subscription continues until the end of the paid period, and no refunds are provided.

Cancelling Your Subscription

At the end of your paid period:

  • Giver can export all Relationship data
  • Both Giver and Receiver can still log in
  • Both can choose a new subscription plan to continue
  • Both can delete their accounts if they wish

Data access:

  • Export period: 30 days after subscription ends
  • After 30 days: Data enters archival (read-only for 60 days)
  • After 90 days total: Data permanently deleted

Widerrufsrecht (Right of Withdrawal)

📱 App Only - EU Consumers Only

Your Right to Withdraw

If you are a consumer in the European Union, you have the right to withdraw from your subscription contract within 14 days without giving any reason.

The withdrawal period expires after 14 days from the day you subscribed.

How to Exercise Your Right

To exercise the right of withdrawal, you must inform us of your decision to withdraw by an unequivocal statement:

You may use the model withdrawal form below, but it is not obligatory.

Effects of Withdrawal

If you withdraw from your subscription:

  • We will reimburse all payments received from you
  • Reimbursement without undue delay, within 14 days of notification
  • Same payment method used for original transaction (unless you agree otherwise)
  • No fees for the reimbursement
  • Your account access will be terminated
  • Your data will be deleted per our Privacy Policy

Intellectual Property Rights

📱 App Only

Your Content (Love Reasons)

You retain ownership of all Reasons you create (“Your Content”).

By using 100 Reasons, you grant us a limited license to:

  • Store and display Your Content to your designated partner (Receiver)
  • Process Your Content to deliver the service (backup, display, notifications)
  • Ensure technical functionality (caching, optimization)

We do NOT:

  • Claim ownership of Your Content
  • Use Your Content for AI training or machine learning
  • Use Your Content for marketing or promotional activities
  • Share Your Content with anyone except:
    • Your designated Receiver (the purpose of the service)
    • Supabase (our hosting provider, bound by Data Processing Agreement, encrypted at rest)
  • Analyze special categories of personal data in Your Content
  • Display Your Content publicly

Your Responsibility for Your Content

📱 App Only

You are fully responsible for all Reasons you create.

You warrant and represent that:

  • You own or have the necessary rights to all content you submit
  • Your Content does not violate any third-party intellectual property rights
  • Your Content complies with all applicable laws
  • Your Content complies with our Acceptable Use Policy
  • Your Content does not contain illegal, defamatory, or harmful material

We CANNOT (due to encryption):

  • Pre-screen or curate Your Content before it’s delivered to your partner
  • Monitor Your Content for violations (unless reported)
  • Review the accuracy or appropriateness of Your Content
  • Access or read Your Content

We do NOT:

  • Take responsibility for content created by users

Our role is limited to:

  • Storing and displaying Your Content to your designated Receiver
  • Removing specific Reasons by ID upon valid legal request or abuse reports
  • Processing abuse reports (we can delete reported content without reading it)

If you violate these warranties:

  • You may be liable for damages to third parties
  • We may suspend or terminate your account
  • We may be required to disclose your information to authorities
  • You agree to indemnify us against claims arising from your content

User-generated content disclaimer: All Reasons are created by users, not by 100 Reasons. We are not responsible for the content, accuracy, or appropriateness of user-generated Reasons.

Our Content

The 100 Reasons platform, including:

  • Source code and software
  • Design, branding, logos, and trademarks
  • Documentation and marketing materials
  • All non-user-generated content

is owned by doto one GmbH and protected by copyright, trademark, patent, and other intellectual property laws.

You may NOT:

  • Copy, modify, or distribute our platform code
  • Use our branding, logos, or trademarks without written permission
  • Reverse engineer, decompile, or disassemble our software
  • Create derivative works based on our platform
  • Remove copyright or proprietary notices

Third-Party Content

Some features include third-party integrations (e.g., Stripe payment forms, Google Analytics). These are subject to their respective terms of service.


Your Responsibilities

Provide Accurate Information

📧 Early Access:

  • Use a real, valid email address you have access to
  • Don’t use temporary or disposable email addresses
  • Don’t use someone else’s email address without permission

📱 App:

  • Provide accurate account information (email, display name)
  • Keep your password secure and confidential
  • Notify us immediately if your account is compromised
  • Accept responsibility for all activity under your account

Acceptable Use Policy

You agree NOT to:

Prohibited Content:

  • Illegal content (threats, harassment, hate speech, violence, illegal activity)
  • Content that violates third-party intellectual property rights
  • Spam, advertising, or promotional content
  • Malicious code, viruses, or harmful software
  • Content that violates the platform’s intended purpose (love reasons should be positive expressions for your partner)

Prohibited Actions:

  • Create multiple accounts to circumvent service limits
  • Share account credentials with others
  • Attempt to hack, disrupt, or compromise the service or other users
  • Use automated bots, scrapers, or scripts to interact with the service
  • Reverse engineer, decompile, or disassemble the platform
  • Impersonate others or misrepresent your identity
  • Harass, stalk, threaten, or abuse other users
  • Interfere with other users’ enjoyment of the service
  • Use the service for any illegal purpose

Consequences of Misuse

If we detect violations of these Terms, we reserve the right to:

  • Remove prohibited content without notice
  • Suspend or terminate your account immediately
  • Block your email or IP address from future access
  • Report illegal activity to appropriate authorities
  • Pursue legal action for damages or injunctive relief
  • Deny refunds for terminated accounts

No refunds for violations: If your account is terminated for violating these Terms, you are not entitled to a refund.

Cure Period for Inadvertent Violations

For inadvertent or minor violations, we will:

  1. Notify you via email with specific violation details
  2. Provide 7-day cure period to resolve the issue
  3. Temporarily restrict your ability to create or view Reasons during investigation
  4. Restore full access immediately once resolved

Cure period does NOT apply to:

  • Illegal content (threats, harassment, hate speech)
  • Severe security threats (attempting to hack the service, distributing malware)
  • Repeated violations (more than 2 violations in 12 months)
  • Fraud or payment disputes

Examples:

  • Scenario 1: You accidentally shared your login with a friend to show them the app. We notify you, you change your password and confirm only you and your partner use the account. Full access restored.
  • Scenario 2: You created a second account to test the service. We notify you, you delete the duplicate account. Full access restored to your primary account.

Reporting Violations

If you encounter prohibited content or behavior:

We will investigate all reports and take appropriate action.

  • ✅ We’ll send a reasonable number of emails (2-4 before launch)

📱 App:

  • ✅ We’ll help you create romantic moments on busy days
  • ✅ We’ll deliver your love reasons with a daily surprise
  • ✅ We’ll keep adding new features to enhance your relationship
  • ✅ We’ll deliver the service as described in these Terms
  • ✅ We’ll protect your data with industry-standard security (see Privacy Policy)
  • ✅ We’ll notify you of service changes or outages
  • ✅ We’ll process deletion requests within 30 days
  • ✅ We’ll honor your Widerrufsrecht (EU consumers)
  • ✅ We’ll maintain backups for disaster recovery (30 days)

What We Don’t Promise:

📱 App:

  • ❌ We don’t guarantee 100% uptime (target: 99.5%)

  • ❌ We don’t guarantee specific features will always be available
  • ❌ We don’t guarantee the service will meet your specific requirements
  • ❌ We don’t guarantee error-free or uninterrupted service

Service “As-Is”

100 Reasons services are provided “as-is” and “as available” without warranties of any kind, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Security or accuracy
  • Reliability or availability

We make no guarantees about service performance, email delivery, data integrity, or compatibility.


Privacy and Data Protection

Your privacy is important to us.

What data we collect:

  • 📧 Early Access: Email address, consent timestamp
  • 📱 App: Account info, Reasons, usage data, payment info

How we use it:

Unsubscribing from Early Access

You can unsubscribe from early access at any time.

How to Unsubscribe:

Click the “Unsubscribe” link at the bottom of any email we send.

What Happens When You Unsubscribe:

  • No early access to 100 Reasons
  • No more emails from us
  • Data deleted within 7 days (see Privacy Policy)
  • You can re-subscribe later if you change your mind

No Penalties: Unsubscribing is always free, instant, and no questions asked.


Account Suspension

📱 App Only

Suspension is a temporary restriction of access, distinct from account termination.

When We May Suspend Your Account

We may temporarily suspend your account (not terminate) for:

  1. Payment failures - Missed payment with resolution possible
  2. Minor Acceptable Use Policy violations - Inadvertent acceptable use policy breaches
  3. Security concerns - Suspicious activity requiring investigation
  4. Abuse investigation - Reviewing reported violations

Suspension Process

  1. Email notification - We notify you immediately with reason for suspension
  2. Cure period - You have 7 days to resolve the issue
  3. Read-only data access - You can export your data during suspension
  4. Automatic reinstatement - Service restored immediately after resolution

During Suspension

You can:

  • Access account settings (read-only)
  • Export your data
  • Update payment method (if payment failure)
  • Contact support to resolve the issue

You cannot:

  • Create new reasons
  • View reasons
  • Send invitations or nudges
  • Access full app features

After Suspension

  • Issue resolved: Service automatically reinstated within 24 hours
  • Issue not resolved after 7 days: Account may be terminated (see Account Termination section)
  • No refunds during suspension period (suspension is not service failure)

Immediate Termination (No Suspension)

We may skip suspension and terminate immediately for:

  • Illegal activities (criminal behavior, child safety violations)
  • Severe security threats (distributing malware, hacking attempts)
  • Repeated violations after previous suspension
  • Court orders or legal requirements

Account Termination

📱 App Only

Your Right to Terminate

You can delete your account at any time.

What happens:

  1. Account access ends immediately
  2. Subscription canceled (no refund for partial months, except Widerrufsrecht within 14 days)
  3. All data deleted within 30 days (see Privacy Policy for details)
  4. Email removed from marketing lists
  5. Payment records retained for 10 years (German tax law requirement: HGB §257, AO §147)
  6. Partner relationships dissolved (your partner loses access to your reasons)

Before you delete:

  • Export your data if you want to keep a copy
  • Notify your partner (they will lose access to your love reasons)
  • Cancel subscription to avoid future charges

Our Right to Terminate

We may suspend or terminate your account if:

  • You violate these Terms (especially Acceptable Use Policy)
  • You engage in illegal activity
  • You abuse the service (spam, harassment, fraud)
  • Payment fails and is not resolved within 7 days
  • We discontinue the service entirely (30 days’ notice + pro-rated refund)
  • We are required to do so by law or court order

Notice: We will notify you via email before termination (except for severe violations or legal requirements).

Service Discontinuation (Sunset Clause)

If we discontinue 100 Reasons entirely (stop offering the service to all users):

  1. Advance notice: 30 days via email to all users
  2. Pro-rated refunds: All active subscriptions receive pro-rated refunds for unused time
  3. Extended data export period: 90 days (instead of standard 30 days)
  4. Export assistance: Detailed instructions and support for data migration
  5. Survival clauses: Intellectual Property, Limitation of Liability, and Governing Law sections remain in effect

What happens to your data:

  • Access continues for 30 days after discontinuation notice
  • Read-only access for additional 60 days (total 90 days)
  • All data permanently deleted after 90-day export period
  • You will receive three reminder emails (at 30 days, 14 days, and 7 days before deletion)

Migration support:

  • We will provide data export in JSON format
  • Documentation on data structure for easy import to other services
  • Email support for export questions during 90-day period

Effect of Termination

Upon termination:

  • Access to the service ends immediately
  • Subscription charges stop (no refund for partial periods)
  • Data is deleted per Privacy Policy
  • Outstanding payments remain due
  • You may not create a new account without our written permission (if terminated for violations)

Survival

The following sections survive termination:

  • Intellectual Property Rights
  • Limitation of Liability
  • Governing Law and Jurisdiction
  • Payment obligations incurred before termination

Changes to These Terms

We may update these Terms as we develop 100 Reasons and as legal requirements change.

How We’ll Notify You:

For minor changes (typo fixes, clarifications, updated links):

  • Update “Last Updated” date at top
  • Increment minor version (e.g., 2.0 → 2.1)
  • No email notification

For major changes (new services, material terms changes, new obligations):

  • Update “Version” number (e.g., 2.0 → 3.0)
  • Update “Last Updated” and set future “Effective Date”
  • Email notification to all users at least 14 days before effective date
  • Add entry to Version History section

What Constitutes a Major Change

Examples requiring notification:

  • Adding new fees or changing pricing
  • Changing refund or cancellation policies
  • Adding new prohibited uses
  • Changing governing law or jurisdiction
  • Reducing your rights or increasing your obligations
  • Adding new mandatory arbitration clauses

What Happens After Changes

Continued use of 100 Reasons after the effective date means you accept the updated Terms.

If you don’t agree:

  • 📧 Early Access: Unsubscribe before effective date
  • 📱 App: Delete your account before effective date
  • We will process your data under the old Terms until your account is deleted
  • You have at least 14 days’ notice to make this decision (for major changes)

Limitation of Liability

No Liability for Service Issues

To the fullest extent permitted by law, 100 Reasons and doto one GmbH will not be liable for:

Early Access:

  • Missed emails due to spam filters, email provider issues, or incorrect email addresses
  • Missed launches or announcements
  • Product changes, delays, or cancellations

App:

  • Service downtime, interruptions, or errors
  • Data loss (maintain your own backups)
  • Third-party service failures (Stripe, Supabase, Vercel)
  • Compatibility issues with your device or browser
  • Lost profits or business opportunities
  • Emotional distress or relationship issues (we’re a tool, not relationship counseling)

Types of Damages Excluded

We are not liable for:

  • Indirect damages
  • Incidental damages
  • Special damages
  • Consequential damages
  • Punitive damages
  • Loss of data, profits, revenue, or business opportunities

Maximum Liability Cap

If we are found liable for any damages, our maximum liability is limited to the total amount you paid in the 12 months before the incident.

Mandatory Consumer Protections

Important for EU consumers: Nothing in these Terms limits liability that cannot be limited under EU consumer protection laws, including:

  • Liability for death or personal injury caused by our negligence
  • Liability for fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under applicable law

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including:

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law provisions.

This means German law applies to interpretation and enforcement of these Terms.

Consumer Rights - EU Consumers

If you are a consumer within the European Union:

  • You may bring proceedings in the courts of your country of residence
  • OR in the courts of München, Germany (your choice)
  • Mandatory consumer protection laws of your country apply where they provide greater protection
  • Nothing in these Terms reduces your statutory consumer rights

Consumer Rights - Other Jurisdictions

If you are a consumer outside the EU:

  • You may have additional rights under your local consumer protection laws
  • These rights are not waived by these Terms

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and 100 Reasons.

They supersede any prior agreements, representations, or understandings (written or oral).

Severability

If any provision of these Terms is found invalid or unenforceable by a court:

  • The invalid provision is severed (removed)
  • Remaining provisions remain in full effect
  • We will replace the invalid provision with a valid one that achieves the same intent

No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver.

  • We can still enforce that right or provision later
  • Waiver of one breach does not waive future breaches

Assignment

  • We may assign these Terms to any successor, affiliate, or acquirer without your consent
  • You may NOT assign your rights under these Terms without our written consent
  • Any unauthorized assignment by you is void

Language

These Terms are written in English. Translations may be provided for convenience, but the English version controls in case of conflicts.
